ERAPAY General User Terms and Conditions

1. Scope of this agreement and why you should read it

Please read this Agreement carefully before you start using our services. This Agreement (along with the documents cited therein) will tell you who we are, how we will provide services to you, how this agreement may be terminated or changed, what to do if something goes wrong, and other important information.

This Agreement is written in English. We may translate it into other languages. In the event of a conflict between the translated version of this agreement and the English version, the English version shall prevail.

We will promptly give you notice of significant changes to our Terms and Conditions of Service via electronic mail transmission or otherwise in writting, you must read and review these Terms and Conditions. We will provide you with the latest version on the page of our website.

The agreement is effective and legally binding on the date when you create a ERAPAY account, affirmatively accepts the Agreement in writing r electronically, or otherwise uses ERAPAY services(“Effective date”). Thereafter, this agreement remains effective until terminated. Your acceptance of this agreement means that you fully understand and accept these terms and conditions. If you do not understand any of these terms and conditions, please contact us in time for more information.

• Our privacy and security policy, which sets out the terms on how we collect data from you, or the usage of any personal data you provide to us. By using our services, you agree to the data collect, retain, process, share and transfer, and guarantee that all data provided is true and accurate. This policy also stipulates the use of "cookies" on our website;

• Additional terms and conditions may also apply to the services you choose. We will let you know these terms and conditions before you start using these services.

Definitions

• “Agreement” means the terms and conditions in this Agreement, including any referenced documents or attachments.

• "Business Days" means Monday through Friday, excluding the official national holidays recognized in Hong Kong SAR and China mainland.

• The “Beneficiary” is any third party supplier who provides goods and / or services to you.

• “Beneficiary's bank account” means the Beneficiary’s bank account you provided to ERAPAY for payment.

• “Receiving service” means that ERAPAY collects funds on your behalf, and in each case, you need to confirm the receiving funds are in accordance with the applicable requirements set by ERAPAY.

• “Fees” means those amounts you should pay to ERAPAY for using our services.

• “Funds” means any amount or money received from third party on your behalf by ERAPAY or its Service Provider in the course of providing services under this Agreement.

• “Hong Kong” refers to the Hong Kong Special Administrative Region of the People's Republic of China.

• “Applicable law” refers to all laws,rules and regulationsof Hong Kong SAR and other jurisdictions that may be applicable to you in connection with your use of ERAPAY service.

• “Payment agent service” means a personal payment order executed by ERAPAY on your behalf in each case. The payment service shall be within the scope applicable to our requirements and for the avoidance of doubt, exclude any payment related to foreign exchange transactions .

• “Service” means the list of services listed in Article 5 of this Agreement and includes other products, services, content, features, technologies or functions and all related websites and services that may be provided by ERAPAY from time to time under this Agreement, They are called "services".

• “Service providers” include banks, payment service providers, clearing networks, and other third-party payment processing services used by ERAPAY in the course of providing ERAPAY Services.

• “User bank account” means the bank account (which we have pre-authorized) that you or your authorized import and export agent representative provided to ERAPAY to settle funds in your ERAPAY account.

• “Website” means our website we provide services to you, including but not limited to www.erapaypro.com, msp.beefinx.com

• “ERAPAY” refers to the ERAPAY Group, including YSENG LIMITED, a Hong Kong company in China, and Beefx International Limited, an UK company, and all subsidiaries or affiliates.

• A ERAPAY account or settlement acocunt is an unique sub-account registered and records the activity of funds ERAPAY receive or send on your behalf

2. Applicable law and dispute resolution

This agreement shall be governed in all respects by the laws of the Hong Kong Special Administrative Region of the People's Republic of China. Any dispute, controversy, disagreement or claim arising out of or relating to this agreement, including any controversy, validity, interpretation, performance, breach, termination or non-contractual obligations with respect to this agreement, will be submitted to Hong Kong International Arbitration Center ("HKIAC"), resolved by HKIAC's current arbitration rules. The place of arbitration is Hong Kong. The number of arbitrators is one (1). The arbitration proceedings shall be conducted in English.

3. Important information

3.1 You acknowledge that you and your usage of the ERAPAY Services will be subject to the mandatory provisions of the “Applicable Law”. You hereby declare that you are carrying out activities in a professional or commercial capacity that you are not signing this Agreement and using the ERAPAY service as a consumer. You are solely responsible for understanding and complying with the laws and regulations of your country, as well as your laws and regulations related to your use of the ERAPAY Services and your account-based jurisdiction, including but not limited to, the following regulatory payments Services-related laws and regulations: anti-money laundering and anti-terrorist financing requirements, consumer protection, information protection, anti-discrimination, gambling, false advertising, illegal sale or purchase or trading of any goods or services, and related import and export activities, taxes or Forex trading activities.

3.2 The obligations under this agreement are based on our acceptance of you as our customer, and our company has the right to decide unilaterally whether to accept you as our customer.

3.3 The ERAPAY service does not include the functions and benefits of bank accounts. ERAPAY is not a bank or a credit institution, and we will not pay you any interest or other earnings on the amounts in your balance.

3.4 If you violate this agreement or any other agreement signed with ERAPAY, or if your precautionary measures against risk events cannot meet ERAPAY's requirements for risk event prevention, we may decline the transaction and suspend, limit Or close your ERAPAY account. We may also restrict your access to funds in accordance with instructions from law enforcement or regulatory authorities.

3.5 If your ERAPAY account is inactive, we may close your ERAPAY account and notify you by e-mail.

3.6 Protecting your privacy is our important job. Please read our privacy policy carefully to understand our commitment to protecting your privacy and using and disclosing your information comprehensively.

4.ERAPAY registration

4.1 Create your account

Required information

You need to provide ERAPAY with all the information required to register for a ERAPAY account before using our service.

You acknowledge all necessary security check and customer due diligence ERAPAY made are required by law. You need to provide further information (in a format we accept) to let us verify your identity, which is also the prerequisite for registering your ERAPAY account, processing your payment order, or providing services to you. We reserve the right to request additional information, including, but not limited to, information about shareholders, beneficial owners and / or senior management (directors or equivalent) of the company that registered the ERAPAY account. You agree to keep this information updated. You must update this information by logging into your ERAPAY account to inform ERAPAY of any changes in ownership or management. We may conduct any inquiry we deem necessary, directly or through any third party, to verify the authenticity and accuracy of the information you provide to us, including using confidential methods to check business databases or credit reports.

All information you provide during or at any time after registration must be complete, accurate and truthful. If this information changes, you can log into your ERAPAY account to update your profile and / or information. We may refuse or stop providing services to any person or entity for any reason at any time, as detailed in Article 6 of this Agreement.

Account Registration

You will only be able to register for one ERAPAY account unless we explicitly approve your registration for an additional account. ERAPAY can refuse duplicate accounts under same user. If duplicate accounts are detected, ERAPAY may close these duplicate accounts without notify you.

As part of the registration process, you must accept this agreement, privacy and security policy, and other ERAPAY policies that may be included in the registration process. ERAPAY reserves the right to refuse to open or update a ERAPAY account, and we reserve the right to terminate or restrict your ERAPAY account at any time in our sole discretion.

You will be able to view the balance we received on your behalf, any fees applicable, available marketing promotions, and transactions withdrawn from your ERAPAY account. Please check this information regularly and report any discrepancies or clarify any issues as soon as possible by contacting ERAPAY customer service.

4.2 Authorized Representatives and Qualifications

If your ERAPAY account registration is performed by your representative, you must provide ERAPAY with the relevant documents required by ERAPAY to prove that the representative has been legally authorized by you to sign this agreement on your behalf (such as a power of attorney) . You must ensure that your authorized representative is 18 years of age or older and ERAPAY may require evidence of your authorized representative's age.

You must be in good standing with ERAPAY to use ERAPAY's services.

4.3 Your responsibility

Manage your account

You must ensure that the information recorded on your ERAPAY account is always accurate and up-to-date, otherwise we will not be liable for any loss caused by it. You must respond to ERAPAY`s request for documentation and other information in a timely manner for the purpose of confirming the information accuracy.

We may contact you via email or other means registered by you (such as via email or electronic communication within your ERAPAY account) to inform you of information or notices related to your ERAPAY account. If you do not maintain or check your email or other communications, you may miss emails and / or other communications about your transactions and our services. We are not responsible for any results or losses arising therefrom.

Keep your account secure

We have adopted commercially reasonable management and technical procedures and means to protect your personal information from accidental loss and unauthorized access, use or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat these measures or use this personal information for improper purposes.

ERAPAY may have additional security requirements for other ERAPAY products, and you must be familiar with the requirements we have informed you of.

Please do not disclose your ERAPAY account password or your customer reference number to any third party. You are responsible for maintaining adequate security and control of any and all IDs, passwords, personal identification numbers, or any other codes that you use to access ERAPAY account. We will never ask you to provide us or your third party with your password. If you need additional support, please contact us. Never let anyone log in to your ERAPAY account or see you log in to your ERAPAY account.

If you believe that your ERAPAY account`s login details, passwords, or other security features have been stolen, lost, unauthorized, or stolen, we recommend that you change your password. You should regularly log into your account and review your Account history statement. You should immediately notify ERAPAY if you believe there has been an unauthorized transaction or account stolen. Any improper delay notice will not only affect the security of your ERAPAY account, but you will also be responsible for the corresponding financial losses.

5.ERAPAY service

5.1 Scope of Services

ERAPAY is a cross-border payment company that provides services such as money collection, currency exchange, RMB disbursement, and other currency disbursement. Realize automated payment processes from foreign currency collection to currency exchange and RMB / foreign currency distribution (hereinafter referred to as "services"). ERAPAY can provide services directly or through one or more ERAPAY affiliates or service providers. Each collection agent service and payment agent service is a separate contract.

You need a ERAPAY account to use our services. Your ERAPAY account does not constitute a bank account or other financial instrument. However, you can access your registered user information, transaction history, and other information related to your use of the service by logging into your ERAPAY account.

When you sign up for an account, you agree to provide us with complete and accurate information. Our services are used to collect and pay for business purpose and must not be used for personal payments or remittances that are not based on any business transaction. You may not assign or transfer your right to utilize the Services to a third party or otherwise grant any third party a legal or equitable interest in connection with your use of the Services.

ERAPAY services may include some or all of the following services, which may change from time to time:

Payment agent services-to provide you with remittance services (such as payment to your supplier) according to instructions issued through your ERAPAY account;

Collection agent services-receiving payments from your buyers on your behalf;

Foreign exchange services-currency exchange of funds;

Settle funds to your user bank account in the selected available currency;

You can view and manage transaction activities through your ERAPAY account on the ERAPAY website;

Any additional services provided by ERAPAY from time to time.

ERAPAY is not a co-agent or stakeholder for you or your payer / payee. ERAPAY is not responsible for any products, services or any other part of your business. You are solely responsible for your products, services, and customers, and you shall indemnify and protect ERAPAY from any claims against ERAPAY by your customers, suppliers, employees, agents, and contractors.

A ERAPAY account is not a bank account. No interest is accrued on the funds in your ERAPAY account. By accepting this agreement, you acknowledge that you will not receive any interest or other earnings on the amounts in your balance. It is your responsibility to collect, report and remit the correct tax to the appropriate tax authority.

ERAPAY reserves the right to terminate this agreement and/or ERAPAY account for any reason and at any time. You can also cancel your services at any time, but you must notify us in writing 30 days in advance. You may not use the ERAPAY service for purpose including but not limited to fraud, money laundering,terrorist financing and illegal activities. You are prohibited from using the Services in any attempt to abuse, use or circumvent any laws or regulations.

5.2 Fund guarantee

Funds are your property. However, ERAPAY will deposit funds into a designated basic bank account under the name of ERAPAY for the purpose of providing services only. Therefore, with the exception of registered users and ERAPAY, no individual or entity has any rights related to funds. The funds in this basic bank account will be combined and aggregated with the funds of other users provided by ERAPAY.

ERAPAY has taken commercially reasonable management and technical measures to protect and secure funds, including depositing the funds in a designated bank account separate from ERAPAY's own funds so that it will not be used for operating expenses or any other corporate purposes. Depending on the laws and regulations of different jurisdictions, ERAPAY may be required to take additional safeguards against funds.

5.3 Instruction via ERAPAY payment platform

You need to send an instruction (hereinafter referred to as "order", that is, foreign exchange locking behavior) on a certain foreign exchange transaction through the foreign exchange API or ERAPAY platform. You may designate and authorize a person to enter into and confirm foreign exchange transactions under this agreement (hereinafter referred to as "authorized representative", details of the authorized representative refer to Article 2 of this agreement). ERAPAY can rely on the authorized representative to act on behalf you until a written notice is received from the you that the authorization to the authorized representative is revoked or changed. Your authorized representative has the right to place orders on behalf of you, and ERAPAY has the right to act on the instructions of you and yourauthorized representative.

After receiving an order, ERAPAY should promptly send a confirmation message to confirm the details in the order. You must confirm the confirmation information through the API interface or the ERAPAY platform.

If the date listed in an order or confirmation is not a business day, the date should be adjusted according to the following practice:

Postpone: The relevant date is postponed to the first working day thereafter.

Advance: In the case where the relevant date falls into the next calendar month when it is postponed to the first working day thereafter, the relevant date shall be advanced to the nearest working day to the relevant date.

After you confirm the order transaction, a foreign exchange transaction will be created and binding on both parties.

When you confirm the order, he can choose the validity period of the transaction (such as T + 1, T + 2, etc.) according to the actual needs.

Settlement Account

ERAPAY will set up a settlement account for using its services. At any time during the subscription period, you can top up your settlement account and entrust ERAPAY with foreign exchange. ERAPAY services do not support cash, credit card payments or checks for inward and outward payments.

Settlement account requirements

When there are any foreign exchange transactions, the following provisions will always apply:

(1) Upon reaching an agreement with you, ERAPAY may modify the settlement account requirements (the settlement account refers to the financial supervision account that ERAPAY accepts client funds). In order to ensure that you can enjoy the preferential quoted price, the time limit for fund arrival can also be guaranteed. Before each transaction, ERAPAY will notify you to change the settlement account according to the account situation. (Notification methods include WeChat, email, etc. ), Without affecting the normal transaction, ERAPAY can modify the settlement account, but your approval is necessary when we modify the settlement account ; if ERAPAY changes the settlement account without the your consent, it will bear all the adverse consequences and losses arising therefrom .

(2) If the remaining funds in the settlement account are not sufficient to cover the foreign exchange order, ERAPAY will notify the you and require you make up the difference. If the client cannot make up the difference in a timely manner, the client will bear all the adverse consequences and losses arising therefrom.

Payment time and settlement account deposit

You must always ensure that there is sufficient funds in the settlement account at least one business day before the settlement date. If ERAPAY does not receive the funds required to conduct related foreign exchange and issuance transactions, ERAPAY can independently decide:

(1) Delay related foreign exchange transactions to the next business day;

(2) This behavior shall be regarded as a breach of contract stipulated in this agreement, and terminate all foreign exchange transactions in any manner it deems appropriate.

Payment API service

The payment API helps you realize scale cross-border payment activities. ERAPAY provides RMB disbursement and other currency disbursement services to enable you to send various currencies to the domestic / foreign bank accounts at a lower cost. The payment on the ERAPAY platform takes place on the settlement date. The designated payee can usually receive the corresponding payment within up to 2 business days. The actual arrival time depends on the specific transaction conditions at the time and may be different from the settlement date.

5.4 Foreign exchange services

Unless ERAPAY received all the documents or other information required to complete a certain foreign exchange transaction in a format and content that meets ERAPAY's requirements, ERAPAY is under no obligation to enter into any foreign exchange transaction with you. During the process of a certain foreign exchange transaction , the information and opinions provided by ERAPAY on the foreign exchange price are only used as a reference for foreign exchange transactions. The client shall not regard any information or opinions provided by ERAPAY as foreign exchange transaction standards. All foreign exchange transactions between Client and ERAPAY shall be conducted in accordance with this agreement, including the terms which are an effective part of it.

In this agreement, "ERAPAY" and "We" refer to parties in the jurisdiction of the account associated with your collection account, as detailed in the table below.

5.5 Cost

Payments Fee

Payments fee collection method:

ERAPAY charges the payments fee directly from your transaction amount when each transaction is successful, and it is your obligation to make up the amount in a timely manner when the balance is insufficient to complete the transaction fee; if you cannot make up the amount in time, you need to bear all the costs Adverse consequences and losses. At the beginning of each month, ERAPAY issues you transaction statement for the previous month.

ERAPAY will issue an invoice for the handling fees charged for services such as foreign currency collection, currency exchange, RMB issuance, foreign currency issuance, etc. You must pay the service fee in full in accordance with the payment method agreed in this agreement.

Payment method

Each party shall use freely transferable funds, pay the settlement transaction service fees or other fees to the recipient's bank account or the account specified in the relevant confirmation letter in the agreed currency and in the manner customary to pay the agreed currency.

Late payment of interest

If you fail to pay a certain amount on the settlement date, you must pay the interest on a daily basis from the settlement date (inclusive) to the day when the payment is cleared (excluding).

ERAPAY has the right to collect interest on the delayed payment. The interest will be accrued on a daily basis at the annual rate of 15% due at that time. You agree pay the interest upon ERAPAY's request. In case of disputes related to this contract, the delayed payment of interest shall be calculated before and after the period. (Period, in civil litigation refers to the time limit that a people's court, a party, or other litigant participant must complete in order to complete a litigation act.)

Payment terms

Payment obligations from either party to the other party shall be subject to the following prerequisites:

(1) there is no termination transaction that has occurred and is continuing for the other party;

(2) No termination notice has been issued.

Cost loss

If ERAPAY has funded or arranged all or part of its payables on any settlement date, but ERAPAY`s obligation to pay at the settlement date is waived because of you cancel the order or your failure of paying the corresponding amount , you agree to compensate ERAPAY for any losses or additional costs incurred or suffered by ERAPAY as a result of the investment, deposit or other deployment of the reserve, or for the release of the arrangement for the reserve. ERAPAY shall bear or Except where such losses or additional costs were incurred as a result of our own negligence.

Net settlement

If one party should pay the other party the same amount in the same currency (regardless of the same foreign exchange transaction or different foreign exchange transactions) on any settlement date, the obligations of each party to pay the relevant amounts are deemed to have been automatically made on that settlement date; but when the total amount payable by one party exceeds the total amount payable by the other party, the larger amount shall be paid by the other party to the other party.

5.6 Access Services

We will do our best to ensure that we provide services to you when you need it. However, we cannot guarantee that our services will always be available or uninterrupted. We may suspend, revoke, suspend or change all or part of our services without prior notice. It is your responsibility to make all necessary arrangements for accessing our services.

ERAPAY and its service providers hereby waive any kind of express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Neither ERAPAY nor its service providers guarantee that our services will be error free or that access will be continuous or uninterrupted. You understand and use our services or obtain relevant content at your own discretion and risk.

6. Termination / Suspend

6.1 Termination of Services

You may terminate your ERAPAY account with us at any time by giving us 30 days’ notice in writing. The termination notice must be sent to ERAPAY customer service. On the effective date of termination:

(1) You will immediately cease all use of the ERAPAY Account and will return any documents, instructions and other materials containing or relating to the ERAPAY Account;

(2) All payment obligations under this agreement will immediately become due and payable;

(3) We will immediately refund any funds you hold in your settlement account (you are responsible for keeping your user bank account details updated and accurate at any time); and

(4) For the avoidance of doubt, the termination of either party will not affect any terms that have been made before, nor will it relieve any party of any outstanding obligations arising from this agreement. All the terms of this agreement that should survive the termination according to its nature shall survive the termination of the agreement, including but not limited to the ownership terms, warranty disclaimer, compensation and limitation of liability.

6.2 ERAPAY proposes to terminate / suspend the service:

We reserve the right to terminate your ERAPAY account or any related services.

We may suspend or terminate your ERAPAY account at any time without notice if:

(1) Violation of any terms of this agreement or the documents cited in this agreement;

(2) We have reason to believe that you have violated any applicable laws or regulations;

(3) We are required or directed to do so by law, government authority, public agency or law enforcement agency;

(4) We have reason to believe that you have participated in any fraudulent activity, money laundering, terrorist financing or other criminal and / or illegal activities.

(5) We believe your ERAPAY account has been stolen or for other security reasons; or we suspect that your ERAPAY account has been used or is being used fraudulently without your authorization or fraudulently.

It is strictly forbidden to use the ERAPAY service for any illegal purpose, including but not limited to fraud, bribery, money laundering or terrorist financing. Any attempt to abuse, use or circumvent laws and regulations while using the ERAPAY service is strictly prohibited.

7. Limitation of Liability

To the maximum extent permitted by applicable law, under no circumstances will ERAPAY or its affiliates be liable for any loss of profit, indirect, incidental, special, consequential, the agreement herein has excluded all of this above, regardless of whether the damage is foreseeable, or ERAPAY and/or any entity has been informed of the possibility of such damage. Notwithstanding anything to the contrary in this Agreement, ERAPAY's cumulative liability, including claims, costs, damages, or compensation obligations related to obligations under these terms and conditions, shall not exceed the amount of fees you paid to ERAPAY under this agreement within one(1) year preceding the date on which your claim arous. Under no circumstances will ERAPAY, its affiliates, agents, representatives, directors, officers or employees be liable for any actions or omissions caused by circumstances beyond its reasonable control.

Nothing in this Agreement shall exclude the liability of either party, including any loss caused by fraud, dishonesty or deception, death or personal injury caused by the negligence of one party or the negligence of its employees or agents, Any other liability excluded.

7.1 IT and infrastructure

We will not be liable if your computer equipment, computer programs, data or other proprietary materials related to your use of our services are infected by a virus, trojan horses, worms or other technological attack or harmful substance, and you agree to take loss or damage .

We have no control over other websites that link to our website, so we are not responsible for their content and any loss or damage caused by your use of them.

In the event of an unauthorized settlement or error due to our error, we will issue a refund at your request, including all fees deducted by us. This clause does not apply to:

(1) If the security of your ERAPAY account is threatened due to your intentional or gross negligence, resulting in unauthorized transactions; or because you fail to securely maintain the personalized security features of your ERAPAY account . In these cases, you will bear all losses on your own, unless otherwise provided by applicable laws / regulations in each jurisdiction;

(2) If you do not inform us of an unauthorized or erroneous completed transaction within 6 months from the date you send the settlement request.

If you issue a settlement application after notifying us via an emergency contact phone, item (1) above will not apply. In that case, we will still be liable for any unauthorized transactions and compensate you.

In addition, you must regularly check the transaction records of your ERAPAY account. If you have any questions or concerns, please contact customer service immediately.

If any errors or misleading settlements occur, we will use commercially reasonable efforts to help you track and recover those settlements. If things are outside our control, we (and our affiliates) will not be liable for the inability or delay of recovery.

You agree to fully indemnify ERAPAY and/or our affiliates and protect us from damage under the circumstance of you breaching this agreement or violating any law, statute, ordinance, or regulation. This clause will continue to be effective after the termination of the relationship between the two parties.

7.2 Supplementary Provisions

Privacy

The main purpose of our collection of your information is to provide you with a secure, smooth, effective and customized experience.

We and our third-party service providers automatically collect information about your use of our website and online services through cookies, web beacons, and other technologies.

We may collect and store any information you provide to us when you use our services, including adding information to web forms, adding or updating your account information, participating in dispute resolution, or otherwise Means to communicate with us regarding our services.

When opening a ERAPAY account, we need your consent. We may share your information with third parties, including service providers, regulated institutions (such as financial institutions), affiliated entities, and partners.

Change / modify

We may change this agreement by sending you a written notice 30 days in advance via your registration email and posting it on our website. If we do so, you may terminate this agreement immediately by giving us written notice during the notice period. If we do not receive your notice within the notice period, it will be deemed that you have accepted the proposed change and will apply to you from the effective date of the change.

If you do not agree with our changes, you will not be able to continue using the ERAPAY service after the designated notice period. If you continue to use our services, you will be bound by the new terms. However, any disputes that occur before the change will be governed by the terms and conditions in effect at the time of the dispute.

Changes to this agreement, such as (1) will be more beneficial to you; (2) applicable legal requirements; or (3) will add a new service or additional function to an existing service; or (4) will not reduce your When you change your rights or increase your responsibilities, everything stated in the change notice will take effect immediately.

Online agreement

When you register for the service, you will provide this agreement to you online through our website. By clicking the "I confirm" or similar button, registering, accessing or using the services (collectively "Consent"), you sign a legally binding agreement with ERAPAY and you agree to accept the terms and rule. If, after you have given your consent, you and ERAPAY agree to sign the paper document form of this agreement, the paper document form of this agreement will also be valid and valid retrospectively from the date of your first consent. If there is any inconsistency between the online version of this agreement and the paper form, the online version shall prevail.
